Lincoln Financial's Third-Quarter Net Income Jumps to $1.4 Billion on Non-Operating Gains While Adjusted Operating Income Falls to $339 Million, and the Insurer Resumes Share Buybacks

Lincoln National reported third-quarter 2026 net income of $1,399 million against $445 million a year earlier, but adjusted operating income available to common stockholders fell to $339 million from $397 million as Group Protection weakened, and the company resumed share repurchases with $50 million.

Lincoln National Corporation, which operates as Lincoln Financial, published its results for the third quarter of 2026 in an earnings release furnished to the U.S. Securities and Exchange Commission on Form 8-K on November 5, 2026. The headline numbers point in two directions at once. Net income rose more than threefold, but the measure the company uses to describe its ongoing operations went down. This article sets out what the release reports, why the two measures differ and what the segment figures show. Every figure comes from the company's release unless this article says it was calculated here, and the release contains no forecast that this article repeats as a prediction.

Net income versus adjusted operating income

Net income was $1,399 million in the quarter, compared with $445 million a year earlier. After preferred dividends, net income available to common stockholders was $1,332 million against $411 million, which works out to $6.77 per diluted share against $2.12. For the first nine months of 2026, net income was $2,559 million against $423 million.

Adjusted operating income available to common stockholders, the measure that strips out items management considers outside day-to-day operations, moved the other way. It was $339 million, or $1.72 per diluted share, against $397 million, or $2.04, a year earlier. A direct comparison of the dollar amounts gives a decline of about 15%, and the per-share figure fell by about 16%, both calculated here. For nine months, adjusted operating earnings per share were $5.61 against $6.01, a decline of about 7% calculated here.

The release does not itemise every non-operating gain in the text this article draws on, so this article does not attribute the jump in net income to a specific cause beyond what the company states. What the release does state is that the annual assumption review, the yearly update of the actuarial assumptions behind its reserves, reduced GAAP earnings per share by $0.47 and adjusted earnings per share by $0.48 in the quarter.

Annuities

Annuities generated operating income of $294 million, down 5% from a year earlier, or $304 million excluding the annual assumption review. Sales were about $4.3 billion, down about 4% from the third quarter of 2025 but up 21% from the previous quarter. Net outflows were about $2.7 billion, which means that money leaving the business through withdrawals and surrenders exceeded money coming in, even with sales that large.

Life insurance

The Life segment earned $105 million, against $25 million a year earlier, or $130 million excluding the assumption review. Total life sales fell 64% to $106 million, while the company said core life sales rose 3%. The difference between the two figures indicates that the decline came from products outside the core line, though the release summary used here does not list which products those are.

Group Protection

Group Protection, which sells disability, life and dental coverage through employers, was the weak spot. Operating income was $46 million, against $149 million a year earlier. Excluding the assumption review it was $77 million, which the company put at a margin of 5.5%. Premiums rose 3% to $1.4 billion, but sales fell 38%. The release points to disability claim severity, meaning the cost of each claim, as a pressure on results. Chief executive Ellen Cooper acknowledged that Group Protection "fell short of our expectations."

Retirement Plan Services

Retirement Plan Services earned $55 million, up 20%. Net flows turned negative: the unit lost $1.9 billion on a net basis, against net inflows of $755 million a year earlier, and deposits fell 29% to $3.5 billion. Other Operations, which holds corporate items, reported a loss of $127 million against a loss of $99 million.

Capital and shareholder returns

Lincoln reported holding company liquidity of $1.0 billion, net of prefunding, which is about $350 million higher than at the end of 2025. It estimated its risk-based capital ratio, the regulatory measure of an insurer's capital relative to its risks, at above 420%. The company said it had "significantly improved financial flexibility" and, as a result, resumed share repurchases, starting with $50 million. It also retired $437 million of preferred stock through tender offers at a premium of $36 million, and declared preferred dividends of $34 million. The release summary reviewed for this article does not mention a common dividend, so this article makes no statement about one. A reinsurance transaction with Talcott closed in October 2026.

Book value per share was $46.17 including accumulated other comprehensive income (AOCI), $84.05 excluding AOCI, and $80.63 on the company's adjusted basis. The gap between the first and second figures reflects unrealised losses on bonds: net unrealised losses on available-for-sale securities were $12.4 billion before tax, against $7.9 billion previously, which the company attributed to higher Treasury rates. These losses are on paper unless the securities are sold at a loss, but they reduce reported book value.

What to take from the quarter

The quarter shows a company that is repairing its capital position, evidenced by the preferred stock tender and the restart of buybacks, while its largest earnings engines are under pressure. Annuities and Group Protection earned less, and Retirement Plan Services had outflows. The release does not give a forecast, and this article does not offer one. Readers comparing life insurers should look at adjusted operating income, net flows, the assumption review impact and unrealised losses together, because any single figure, including the $1.4 billion net income, can mislead.

Key Points

  • 1Net income was $1,399 million, or $6.77 per diluted share, against $445 million, or $2.12, in the third quarter of 2025, while adjusted operating income available to common stockholders fell to $339 million ($1.72 per share) from $397 million ($2.04).
  • 2Group Protection operating income dropped to $46 million from $149 million, or $77 million excluding the annual assumption review, and the company said the result fell short of its expectations.
  • 3Annuities earned $294 million, down 5%, on sales of about $4.3 billion; Life earned $105 million against $25 million; Retirement Plan Services earned $55 million, up 20%, but had net outflows of $1.9 billion.
  • 4Lincoln resumed share repurchases with $50 million, retired $437 million of preferred stock through tender offers, and reported holding company liquidity of $1.0 billion net of prefunding.
  • 5The annual assumption review reduced GAAP earnings per share by $0.47 and adjusted earnings per share by $0.48, and net unrealized losses on available-for-sale securities rose to $12.4 billion before tax.

Why This Matters

Lincoln is one of the largest US providers of annuities, life insurance and workplace benefits, so its results show how a life insurer can report a very large headline profit while its recurring operating earnings shrink. Investors, policyholders and employers who buy its group products should read the operating figures, the segment detail and the balance-sheet items together, not the net income number alone.
