Corebridge Financial reported third-quarter 2026 adjusted after-tax operating income of $545 million ($1.22 per share, up 27%), net income to common shareholders of $1,440 million, premiums and deposits down 29% to $8.8 billion, and common shares outstanding down to 440.3 million, while reporting significant progress toward its merger with Equitable.
Corebridge Financial, Inc. has reported results for the third quarter of 2026, the quarter ended September 30. The press release, filed with the U.S. Securities and Exchange Commission, is dated November 2, 2026, with an earnings call on November 3. Corebridge is a provider of retirement solutions, including annuities, group retirement plans, life insurance and institutional products, and it has agreed to merge with Equitable. Percentages and differences that are not in the release are calculated here and labelled. The release gives its own definitions of adjusted measures, which readers should consult.
Net income and operating earnings
Net income available to common shareholders was $1,440 million, or $3.22 per diluted share, against $144 million, or $0.27, a year earlier. The release says the increase mainly reflects favorable net realized gains, including gains related to embedded derivatives on the Fortitude Re reinsurance arrangement and market risk benefits. These are accounting items that move with markets and are excluded from operating measures. Return on average equity on this net income basis was 70.3% against 4.5%, a figure that is a result of the unusually large gains and not a measure of underlying profitability.
Adjusted after-tax operating income, which Corebridge uses as its core earnings measure, was $545 million against $520 million, an increase of about 5% calculated here. Operating earnings per share were $1.22 against $0.96, up 27%. The gap between the 5% growth in dollars and the 27% growth per share is notable. It is consistent with the fall in common shares outstanding to 440.3 million from 532.1 million a year earlier, a decline of about 17% calculated here, though the release as used here does not itself link the two. Adjusted return on average equity was 12.1% against 10.3%, and adjusted book value per share was $41.37 against $38.03 at September 30, 2025.
Adjusted pre-tax operating income was $677 million against $654 million, up 4%, and the release's core sources of income measure was $1,545 million against $1,528 million, up 2%. Net investment income was $3,270 million against $3,320 million.
Segment results
Adjusted pre-tax operating income by segment, with prior-year figures in brackets: Individual Retirement $466 million ($451 million); Group Retirement $164 million ($185 million); Life Insurance $17 million ($25 million); Institutional Markets $198 million ($134 million); and Corporate and Other a loss of $168 million (a loss of $141 million). Adding them, $466 million plus $164 million plus $17 million plus $198 million less $168 million gives $677 million, matching the total, calculated here.
Institutional Markets grew 48%, which the release attributes to higher variable investment income. Group Retirement fell, Life Insurance fell and the Corporate loss widened.
Sales and deposits
Premiums and deposits, a measure of new money coming in, were $8,785 million against $12,290 million, down 29%. Excluding transactional activity, the decline was 19%. By segment, Individual Retirement fell 19% to $4,467 million, driven by lower fixed index annuity deposits. Group Retirement rose 1% to $1,780 million. Life Insurance was flat at $840 million. Institutional Markets fell 59% to $1,698 million, mainly from lower pension risk transfer premiums and deposits into guaranteed investment contracts.
Pension risk transfer, in which a company hands pension obligations to an insurer, tends to come in large, irregular deals, so quarter-to-quarter swings are common. That general point is context and is not from the release. The release does not say whether sales are expected to recover.
Capital, liquidity and returns
The release says the Life Fleet risk-based capital ratio is above target but gives no numeric figure. Holding company liquidity was $2.2 billion, including $750 million of pre-funded debt that matures in April 2027. The financial leverage ratio was 34.2%, including about 1.7 percentage points from the pre-funded debt. Corebridge returned $295 million to shareholders, $185 million of share repurchases and $110 million of dividends. The board declared a quarterly dividend of $0.25 per share, payable December 31, 2026 to holders of record on December 17, 2026.
The Equitable merger
The release reports significant progress toward completing the merger with Equitable, including advancing regulatory approvals, continuing preparations for the first day of the combined company and selecting members of the future board. Corebridge says it has identified more than $100 million of expense synergies. Completion remains subject to regulatory and other approvals. Separate reporting indicated that the companies' stockholders approved the all-stock merger on July 30 and that closing was expected by the end of 2026; this article relies on the release for the current status, which says only that approvals are advancing.
Management comment
Chief executive Marc Costantini said the third-quarter results highlight the strength of the company's diversified business model, resilient earnings profile and disciplined approach to capital allocation.
What to take from the quarter
Three observations follow from the numbers. Per-share growth is well ahead of dollar growth because the share count has fallen sharply. New money fell, with the largest declines in fixed index annuities and pension risk transfer. And the net income figure is very large mainly because of market-driven gains that should not be read as recurring profit. The release does not provide a forecast, and this article does not predict. Anyone making a financial decision should read the full release and consult a licensed adviser. This article is general information and not investment advice.
Key Points
- 1Adjusted after-tax operating income was $545 million against $520 million, and operating EPS was $1.22 against $0.96, up 27%, helped by common shares outstanding falling to 440.3 million from 532.1 million.
- 2Net income available to common shareholders was $1,440 million ($3.22 per diluted share) against $144 million ($0.27), mainly because of favorable net realized gains, including from Fortitude Re embedded derivatives and market risk benefits.
- 3Adjusted pre-tax operating income rose 4% to $677 million, with Individual Retirement at $466 million, Group Retirement at $164 million, Life Insurance at $17 million and Institutional Markets up 48% to $198 million.
- 4Premiums and deposits fell 29% to $8,785 million (down 19% excluding transactional activity), as Individual Retirement deposits fell 19% on lower fixed index annuity sales and Institutional Markets deposits fell 59%.
- 5Corebridge returned $295 million ($185 million of buybacks and $110 million of dividends), holds $2.2 billion of holding company liquidity, and reports significant progress toward the Equitable merger with more than $100 million of identified expense synergies.
Why This Matters
Corebridge is one of the largest U.S. sellers of retirement annuities and is in the middle of a planned all-stock merger with Equitable. Its results show how much of its per-share profit growth comes from buybacks and how sales are shifting, which matters for anyone holding its annuities or following the merger.
